Articles of association
Article 1
The Company's name is Simtronics ASA. The Company is a Public Limited Company.
Article 2
The Company's registered office is in Oslo.
Article 3
The objective of the Company is to engage in industrial activities, trade and related activities, including participation in other companies with similar business activities, as well as to own and manage real estate, securities and other capital assets.
Article 4
The Company's share capital is NOK 15,658.611,82 divided on 107,134,563 shares, each with a nominal value of NOK 0,146158358. The share capital is fully paid-up. The shares shall be registered in the Norwegian Central Securities Depository.
Article 5
The Board of Directors of the Company shall consist of 3 (three) to 7 (seven) directors, as determined by the general meeting.
Article 6
The Company shall have a nomination committee. The nomination committee shall consist of 3 members who shall be shareholders or representatives of the shareholders. The members of the nomination committee, including its Chairman, shall be appointed by the General Meeting for a duration of two years. The nomination committee presents its recommendation for members to the Board of Directors elected by the shareholders. Remuneration for members of the nomination committee shall be adopted by the General Meeting.
Article 7
The Chairman of the Board of Directors shall have sole authority for all signatures. The Board of Directors may grant powers of attorney.
Article 8
Documents relating to issues that shall be dealt with by the General Meeting may be made available to the shareholders on the company’s website.
Article 9
The ordinary General Meeting shall discuss the following:
- Determination of the profit and loss account and balance sheet.
- Allocation of profit or coverage of loss according to the determined balance sheet.
- Election of Board of Directors.
- Other matters which according to law or the Articles of Association belong under the general meeting
