Simtronics ASA - Notice of Extraordinary General Meeting
On 30 March 2009 Simtronics announced that it had entered into an agreement with Technor AS regarding the purchase of all the activities of Technor AS. It was further announced that the purchase price of NOK 186,944,016 should be settled partly by a cash consideration financed through the net proceeds of a rights issue and partly by a private placement towards Technor AS against contribution in kind.
[16.04.2009]The Board of Directors has resolved to call for an Extraordinary General Meeting to be held on 30 April 2009 to resolve a share capital increase in the form of (i) a rights issue of up to 19,388,611 new shares at a subscription price of NOK 3 per share and (ii) a private placement of minimum 44,426,061 and maximum 62,314,672 new shares directed at Technor AS against contribution in kind at a subscription price of NOK 3 per share. The existing shareholders in Simtronics as per the date of the Extraordinary General Meeting shall have a preferential right to subscribe for shares in the rights issue. The shares are expected to be traded ex subscription rights from 4 May 2009.
Simtronics will prepare a prospectus for the rights issue and the private placement which is subject to approval by Oslo Børs.
The notice for the extraordinary general meeting is attached hereto and is also available with all appendixes at www.simtronics.no. The notice will be submitted to the shareholders of Simtronics today 16 April 2009.
